Job Description

The ESOP Advisory Group ("EAG") at J.P. Morgan Chase is a product group that focuses exclusively on the financing needs of companies that are either executing the sale of all or part of their stock to an ESOP or that are already ESOP owned. Our competitive advantage is twofold: (1) we cover the market through close, collaborative partnership with our Commercial Banking relationship and credit partners through which the relationship team continues to manage the client's broad banking needs while EAG focuses exclusively on ESOP-related issues and concerns of interest to our clients and (2) the largest and most experienced team of ESOP professionals of any bank that can deliver a deep knowledge of all aspects of ESOPs.

As an Executive Director you will drive revenue and provide support as an ESOP Subject Matter expert to Relationship Managers, Bankers and underwriters across deal execution, risk and portfolio management and marketing.

Job Responsibilities

  • Facilitate the review of external referrals to the EAG from outside advisors in conjunction with the appropriate markets/bankers.
  • Participate in customer and prospect meetings to introduce and educate companies on ESOP transactions and related liquidity strategies. Be visible in the external marketplace; conference attendance and presentations & Networking with various ESOP referral sources to continue to foster deal flow.
  • Partner with bankers and underwriters in the review/underwriting of ESOPs for newly established ESOPs as well as second-stage, restructures, and renewals of existing ESOP deals.
  • Preparation and presentation of financing feasibility and debt capacity studies analyzing various ESOP structures and comparing those to traditional leveraged recapitalizations. Model includes, debt capacity analysis, proceeds to shareholders, ESOP deduction analysis, cash flow analysis and collateral analysis
  • Review of legal documents on existing ESOP deals to ensure appropriate ESOP reps and warranties are included as well as covenant review to ensure accurate accounting for ESOP related add-backs and off-balance sheet liabilities are accounted for.
  • Working with EAG Associates to prepare detailed financial models analyzing proposed transactions and structuring alternatives. Models will be used for the purposes of assisting credit partners in underwriting and structuring financings offered to clients and prospects as well as identifying ESOP-specific areas of risk to be managed.
  • Conduct periodic reviews of ESOPs in support of the relationship teams' extension of credit exposure to ESOP owned companies.

Required Qualifications, Capabilities and Skills

  • 10+ years of ESOP, business valuation service, corporate or investment banking experience with strong corporate finance/credit background.
  • Direct experience working with ESOP transactions from a technical standpoint (valuation, structure/design, financial modeling, and accounting).
  • Ability to work with Senior Bankers to help manage and execute on new transaction opportunities that come into the EAG from all over the country.
  • Strong business development acumen. Illustrated ability successfully identifying marketplace opportunities and influencing/partnering with internal constituents: Relationship Manager, Bankers, and underwriters to drive revenue.
  • Ability to identify and assess credit transaction risks and have knowledge of credit policies and processes.
  • Knowledge of credit underwriting and structuring. Position will regularly collaborate with credit team on analysis, structuring and documentation of credit requests.
  • Strong computer proficiency with knowledge of Excel, PowerPoint, and Word
  • Bachelor’s degree
  • FINRA SIE, Series 63, and Series 79 licensing. Candidates who are not currently licensed will be required to obtain licensing within 180 days of start date.

  • Previous participation in a Commercial Banking or Investment Banking Analyst Training Program
